License Agreement

For Personal Use of the TESTERLY® Career Inventory

This License Agreement is for individuals completing the TESTERLY Career Inventory for their own personal use. Please read the following terms carefully. You will need to agree to these terms (for example, checking a consent checkbox) before you can start the inventory.

License Grant (Personal Use Only)

We grant you a limited, personal, non-exclusive, and non-transferable license to use the TESTERLY Career Inventory and related services (the "Services") for your own personal career exploration. This means you can take the inventory and view your results for your individual, non-commercial use only.

What the Career Inventory Includes

The TESTERLY Career Inventory and related Services include:

  1. Inventory Questions: A set of psychometric questions that measure your interests, preferences, needs, aversions, and personality traits.
  2. Online Platform: The front-end survey platform where you complete the inventory, and a back-end platform that stores and scores your answers.
  3. Results and Career Matches: A portal to view your inventory results, including information on how well your profile matches various careers.
  4. Career Resources: Additional career information pages and possible referrals to career guidance counselors to help you understand or act on your results.

Intellectual Property and Ownership

All content and materials of the TESTERLY Career Inventory are owned by TESTERLY. This includes, for example, the questions in the inventory, the structure and organization of the test, the scoring system and answer keys, the software code, the career descriptions and images, and the reports or career match results you receive. All of these are part of TESTERLY’s intellectual property.

  1. No Ownership Transfer: You are not purchasing the Career Inventory or any part of it. You are only receiving permission to use it under this agreement. All rights not expressly granted to you are reserved by TESTERLY.
  2. No Copying or Derivative Works: You may not copy, reproduce, publish, or create derivative works from the Career Inventory or any part of the Services without our prior written consent.
  3. No Reverse Engineering: You may not attempt to reverse engineer, decompile, or otherwise uncover the source code, scoring methods, or any confidential aspects of the Services.
  4. Copyright remains with TESTERLY: If you place a copyright notice on TESTERLY’s materials (for example, if you print or save a report), that does not mean you have published the Services or that TESTERLY has given up any of its rights. It also does not weaken TESTERLY’s rights under copyright or trade secret law.
  5. Keep Content Confidential: You agree not to disclose or share the inventory questions, scoring methods, or other non-public content of the Services with anyone else. (In simple terms, don’t publish or give away our test content.)
  6. Reporting Unauthorized Use: If you become aware of any unauthorized use of the Career Inventory or any breach of our intellectual property rights (for example, someone copying the questions or hacking the system), you agree to notify TESTERLY as soon as possible.

Permitted Uses

Your use of the Career Inventory is only for your personal insight and self-reflection regarding career preferences.

Prohibited Uses

You cannot use the TESTERLY Career Inventory or the results for any purpose other than your own personal exploration. Prohibited uses include, but are not limited to:

  1. Employment Decisions: Do not use the inventory or results to make decisions about hiring, promotion, or firing of any person (whether for yourself or someone else).
  2. Workplace or Performance Evaluations: Do not use the Services for leadership assessments, employee evaluations, performance reviews, or any coaching/training of employees in a business.
  3. Financial Decisions: Do not use the Services to inform decisions about lending money or issuing credit.
  4. Housing Decisions: Do not use the Services to inform decisions to rent property or any tenancy or eviction matters.
  5. Medical or Psychological Uses: Do not use the inventory or results to diagnose, treat, or make decisions regarding anyone’s mental health or medical conditions.
  6. Dating or Matching Services: Do not use the Services as a tool for matchmaking, dating services, or any similar purpose of pairing people.
  7. Illegal or Harmful Activities: Do not use the Career Inventory for any illegal, illicit, or immoral activities. Also, do not use it in any way that could harass others or harm TESTERLY’s reputation.
  8. Other Unapproved Uses: Any use not expressly allowed by this agreement is prohibited. If it’s not clearly for your personal career exploration, assume you need our written permission first.

If you want to use the TESTERLY Career Inventory for any purpose listed above or any other non-personal use (for example, in a company setting or for research on others), you must contact TESTERLY to obtain a separate license. Using the Services in any prohibited way without permission violates this agreement.

Your Responsibilities

  1. Provide Accurate Information: You agree that any information you provide to us (for example, when creating an account or answering the inventory questions) will be truthful and accurate.
  2. Follow the Law: You agree to use the Services in compliance with all applicable laws and regulations. For example, do not use the website or inventory in any unlawful way, and do not attempt to circumvent security or violate any regulations while using TESTERLY’s products or services.
  3. Account Security: If you create an account, you are responsible for keeping your login credentials (password or login code) confidential. Do not share your account with others. Notify us immediately if you suspect any unauthorized use of your account.

No Guarantee of Results (Personal Reflection Only)

The TESTERLY Career Inventory is designed to provide personal insights, but it does not guarantee any particular outcome. Treat it as one helpful tool for reflection, not a definitive predictor of your future.

  1. Not Professional Advice or a Promise: The inventory results and career matches are for your personal consideration only. They do not constitute professional career counseling or advice. TESTERLY does not promise that taking the inventory will lead to a job, a promotion, or any career success. Always use your own judgment and consider consulting professional career advisors for important decisions.
  2. No Guarantee of Accuracy in Inventory Results: We strive to offer reliable, research-based tools, but we do not guarantee the accuracy of your individual results. Results are imperfect evidence-based predictions based largely on your own self-reported answers. No inventory is 100% accurate. It is normal for a person’s interests and results to have a margin of error and to shift over time.
  3. No Guarantee of Accuracy in Career Information: We aim to provide helpful career descriptions, but we do not guarantee that any career information is accurate, up-to-date, complete, or relevant in your location. Job markets change frequently, and conditions vary across locations. Whenever possible, we rely on recent data from reputable government sources (such as the U.S. Department of Labor or Employment and Social Development Canada), but we do not independently verify this third-party data. Some career details may be incomplete, incorrect, outdated, or inapplicable to your situation.
  4. Use Your Own Judgment: You are responsible for how you interpret and use your results. Do not make major life decisions (such as quitting a job or investing in a new career path) based solely on what you learn from TESTERLY. Use the results as one of many inputs about yourself and consider them alongside other factors and advice.

Disclaimer of Warranties

We provide the TESTERLY Career Inventory and all related Services to you "as is" and "as available." In other words, we are not making any promises or warranties about the service, except those that cannot by law be excluded.

To the fullest extent permitted by law, TESTERLY disclaims all warranties, express or implied. This includes, for example:

  1. Implied warranties of merchantability: that the service is of acceptable quality and suitable for ordinary use;
  2. Fitness for a particular purpose: that the service will meet your specific needs or achieve any particular results;
  3. Non-infringement: that using the service will not violate any rights of others;
  4. and any other warranties that might arise under law.

In plain language, we do not guarantee that the Career Inventory or the website will always work perfectly, be uninterrupted, or be error-free. We also do not guarantee that the content or results will be accurate, reliable, or meet your expectations.

Some places do not allow the exclusion of certain warranties. If the law in your area does not allow a disclaimer of certain warranties, then those particular warranties may still apply to this agreement. But in general, this section means that we are not giving any guarantees about the Service.

Limitation of Liability

To the maximum extent permitted by law, TESTERLY will not be liable for any damages arising out of or related to your use of (or inability to use) the Career Inventory and Services. This applies to any kind of legal claim (whether in contract, tort, negligence, strict liability, or otherwise).

  1. Limit on Direct Damages: If you ever have a claim against TESTERLY and we are found responsible for some loss or damage, the most we would owe you (where not prohibited by law) is the amount you paid us for the Services in the 12 months before the issue occurred. If you paid nothing (for example, if the Service is free to use), our liability to you for damages would be $0.
  2. No Indirect or Consequential Damages: We will not be liable for any indirect, incidental, consequential, special, or punitive damages. This means we are not responsible for losses like lost profits or business opportunities, loss of data, emotional distress, or other intangible losses that might result from using our Services.
  3. Not Responsible for Third-Party Claims: We are not responsible for any claims made against you by someone else due to your use of the Career Inventory. Similarly, we won’t be liable for any issues if you use the Services in a way that violates this agreement.

For example, if you take the assessment and are unhappy with your results, or you make a decision based on those results that doesn’t work out, you cannot hold TESTERLY responsible for any consequences. If you were to use the Career Inventory in a prohibited way (say, to screen job applicants) and that action causes problems or someone sues, TESTERLY will not be liable for that misuse, and you would be responsible for any resulting costs (see the next section on Your Responsibility).

Some jurisdictions do not allow the limitation of liability for certain types of damages. In any case, TESTERLY’s liability is limited to the fullest extent allowed by law.

Your Responsibility for Misuse (Indemnification)

If you violate this agreement or misuse the TESTERLY Career Inventory, and as a result TESTERLY (or anyone associated with TESTERLY) is harmed or faces legal trouble, you agree to take responsibility. In legal terms, you agree to indemnify and hold harmless TESTERLY, its affiliates, and its employees from any claims, losses, or damages (including reasonable legal fees) that arise due to:

In simpler terms, if you do something that this agreement prohibits, or use the Career Inventory in a way that causes harm or legal issues, you must cover the costs for any damage, loss, or legal claims that result. This obligation applies only to the extent allowed by law.

Term of Agreement and Termination

When it begins: This agreement starts when you first use the TESTERLY Career Inventory. "Use" includes actions like creating an account on our site or beginning to answer the inventory questions, whichever happens first.

Ending the agreement: Either you or TESTERLY may end (terminate) this License Agreement at any time.

If this agreement is terminated (by you or by us), your rights to use the Career Inventory and Services will end immediately. You must stop using the inventory and any related Services. Even after termination, any provisions of this agreement that by their nature should continue to apply will remain in effect (for example, the sections on Intellectual Property, Disclaimers, Limitation of Liability, etc. will still protect us after the agreement ends).

Changes to this Agreement

From time to time, we may update or modify this License Agreement. For example, we may update the Agreement if laws change or we add new features to our Services. If we make changes, we will post the updated agreement on our website with a new effective date.

Governing Law and Disputes

This License Agreement is governed by the laws of the Province of British Columbia, Canada, and by the federal laws of Canada that apply in British Columbia. We choose these laws to govern the agreement, no matter where you actually live or use our Services.

If a dispute arises between you and TESTERLY about this agreement or your use of the Services, you agree that the matter will be resolved exclusively in the courts of Nanaimo, British Columbia, Canada. You also agree to submit to the personal jurisdiction of these courts.

This means that if you ever have a legal dispute with TESTERLY, you will bring your claim in a court located in Nanaimo, BC, and Canadian law will apply. Likewise, if TESTERLY needs to enforce this agreement against you, we will do so in the same courts. By agreeing to these terms, both you and TESTERLY are giving up the right to a trial in any other jurisdiction.

You agree that any final judgment issued by these courts is binding and can be enforced in other places if needed. This means that if a court in Nanaimo, BC, makes a final decision, TESTERLY (or you) can take steps to have that decision recognized and enforced in other countries or regions, using the local legal process.

Other Important Terms

  1. Entire Agreement: This License Agreement (along with our Privacy Policy and Terms of Use) contains the whole agreement between you and TESTERLY regarding the Career Inventory. It replaces any earlier agreements or understandings about your use of the Career Inventory.
  2. No Third-Party Rights: This agreement is only between you and us (TESTERLY). No other person or company has any rights to enforce any part of this agreement.
  3. Severability: If any part of this agreement is found to be illegal or unenforceable, that part will be removed or adjusted just enough to make it legal. The rest of the agreement will stay in effect and remain valid.
  4. No Waiver: If we do not enforce any part of this agreement at any given time, it does not mean we are giving up our right to enforce it later. We reserve our rights to enforce this agreement at all times.
  5. Headings: The section headings in this agreement are for convenience and readability only. They do not affect how the terms of the agreement are interpreted.

Acceptance of Terms

By checking an acceptance box or beginning the inventory, you confirm that you have read and understood this License Agreement, and that you agree to all of its terms. If you do not agree, do not use the TESTERLY Career Inventory or any related Services.
